State Gazette highlights

In issue 38/24 April 2020, the following have been promulgated:

1. Law on amendment and supplement to the Commercial Registry and Registry of Non-Profit Legal Entities

The amendments are as follows:

  • The obligation has been removed to declare in the Commercial Registry (CR) and the Registry of Non-Profit Legal Entities (RNPLE) of annual financial statements (AFS) of entities that did not perform operations in the reporting period (2019). The lack of operations shall be declared by means of a declaration approved by an order of the Minister of Finance;
  • No state fee shall be due for declaring AFS;
  • AFS declarations and the annual management activity reports shall be submitted electronically in accordance with the terms, conditions and deadlines approved with an order of the Chairperson of the National Statistical Institute (NSI) and a joint order of the Chairperson of NSI and the Executive Director of the National Revenue Agency (NRA);
  • The lack of operations declarations may also be submitted online.

 

The transitional and final provisions introduce amendments to the following acts:

2. Individual Income Taxation Act and Corporate Income Taxation Act

The amendment to both acts concerns the electronic submission of AFS and annual management activity report following the terms and conditions described herein above.

3. Measures and Actions During the State of Emergency Act

  • Until the state of emergency is repealed, the Council of Ministers may impose temporary measures to protect the production of food produced on the territory of Bulgaria, trade and placement thereof in retail chains;
  • A pecuniary sanction of BGN 15,000 to BGN 25,000 thousand is envisaged for entities violating the temporary measures imposed in a retail outlet. In case of repeated violation at the same outlet, the amount of the sanction shall be double;
  • The Council of Ministers may impose a temporary ban on import of certain foods from non-EU members, in accordance with the international treaties to which Bulgaria is a party.

4. The National Revenue Agency Act and Statistics Act;

The law shall be effective as from 1 January 2022, with the exception of:

  • Paragraph 5, concerning proceedings of submission of AFS and annual management activities reports to the CR and RNPLE which have not been completed until the date of enforcement of this law. The fact that the above documents have been approved by the general meeting of associates or shareholders or the respective body shall only be verified with a truthfulness declaration pursuant to Art. 13, para 4; and
  • Paragraph 10, concerning the amendments to the Measures and Actions During the State of Emergency Act.

The amendments in § 5 and § 10 shall be effective as from 24 April 2020.
